Grandprize.com ("Game Website") is a mobile gaming site that includes a reverse auction sweepstakes consisting of individual online games with a Prize associated with each game ("Grandprize.com Sweepstakes") and a daily interactive trivia quiz game club where questions are texted along with multiple choice answers, one of which is correct ("Grandprize.com Trivia"). There are no prizes offered for Grandprize.com Trivia. Grandprize.com Sweepstakes and Grandprize.com Trivia are sometimes referred to collectively as "Grandprize.com mobile."

The object of Grandprize.com Sweepstakes is for players or "Entrants" to select the lowest & unique guess to win an amazing prize ("Prize") per game. The player to uncover the lowest & unique (not chosen by anyone else) number is the winner. All guesses must be in whole numbers. If two or more players guess the same number, then that number is no longer unique. All players have the option to play online at www.grandprize.com. Players are allowed to submit up to 30 total guesses per day for any active game either online or via the mobile phone (supported carriers only). If you do not use all 30 guesses, unused guesses do not carry over to the next day. The lowest and unique number submitted for the Prize during the game duration will be the winner. Players may only win one Prize over a 30 day period.

For example:

Grandprize.com Trivia is a daily interactive trivia quiz club only available to Grandprize.com mobile subscribers that allows players to receive one question per day via mobile phone (support carriers only), up to 30 questions per month, with multiple choice answers, one of which is correct. The player will then text in the answer they think is correct and Grandprize.com Trivia will let them know via text whether they are correct or incorrect. The correct answer will always be displayed in the response text. For every question answered correctly, 1 point will be awarded to the player's account. The top 10 players will be displayed on the leader board on Grandprize.com.

Grandprize.com mobile subscribers may participate in the Sweepstakes and Trivia anytime, anywhere. To play Grandprize.com mobile on your phone, the cost is $9.99 per month for AT&T, Sprint, Alltel, T-Mobile, Verizon Wireless, US Cellular and CelluarOne customers. You will see the applicable charge on your monthly cell phone bill (or deducted from the prepaid balance if applicable) from your carrier. You will be billed for the service on your cell phone bill until you cancel it. You may still play online without incurring any charges as long as you have registered on www.grandprize.com and have created a profile.

ELIGIBILITY

Participation is open to individual legal residents of the fifty (50) United States and the District of Columbia ("United States") who are at least 18 years of age or the legal age of majority in your resident state, if different, as of the time of participation, and who are either (i) registered account holders with a participating wireless carrier of a wireless telephone with short message service ("SMS"), or (ii) have access to the internet as of the commencement of the game. Follow the online instructions to create a Grandprize.com profile which includes: name, address, gender, date of birth, cell phone number and email address. Once your profile is complete, you are now ready to begin playing.

GAME PERIOD FOR GRANDPRIZE.COM SWEEPSTAKES

Every individual game on Grandprize.com Sweepstakes has a start date and time as well as an end date and time displayed clearly on the Game Website and in the Prize chart below. Groupings of games may sometimes be referred to as the Sweepstakes. The allotted time period varies from game to game and is clearly specified on the Game Website. A player who guesses the lowest and also unique number in the allocated timeframe wins the game and the Prize. Players may only win one Prize over a 30 day period.

Games are regularly added to the website, which will state the Prize and the allotted time period.

PRIZE NOTIFICATION PROCEDURES FOR GRANDPRIZE.COM SWEEPSTAKES

All winners will be notified by either text or email and the winner will have seven (7) days to respond to verify his/her address/contact information or the Prize will be forfeited. A winner may also be required to complete a valid W-9 tax form and any other required paperwork provided by Sponsor within seven (7) days. A winner's failure to provide additional information upon request as required by Sponsor in order to verify compliance with the Official Rules will result in disqualification. Once valid required paperwork is received, the Prize will be shipped to winner within 30 days. All federal, state, and local taxes are the sole responsibility of winner. Prizes will only be shipped within the United States.

GENERAL TERMS

Decisions of Sponsor are final and binding in all respects, and by participating, Entrant agrees to be bound by the Official Rules and the Sponsor's decisions.

Sponsor reserves the right to add, delete or modify the game for prizes of equal or greater value. Players may only win one Prize over a 30 day period. By accepting a Prize, the winner agrees to release and hold harmless Sponsor and the game and/or Sweepstakes Entities from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize. In case of dispute as to the identity of any winner, the winner will be the authorized account holder of the wireless phone number or e-mail account used to enter the sweepstakes at the actual time of entry. The authorized account holder is defined as the natural person who is assigned a wireless-telephone number by a wireless-service provider or an e-mail address by an Internet-access provider, online-service provider, or another organization that is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address.

Participation in a game and acceptance of a Prize constitutes the winner's permission for Sponsor to use his/her name, address (city and state only), likeness, photograph, and/or any statements made by any winner regarding the game or Sponsor for advertising and promotional purposes without notice or additional compensation, in any media format including posting winner's name (first name and first initial of last name only) on the Internet, except for residents of Tennessee and as otherwise prohibited by law.

Entrant is solely responsible for the security of his/her password and username. Sponsor will not be responsible for any losses, damages or consequences Entrant may suffer due to careless or unauthorized use of a password and/or username. There is a limit of one password and username per person, mobile phone number and email account. If Entrant participates both by text message and at the Game Website the same password and username must be used for both methods of participation. Should any user attempt to use more than one password and/or username, he/she will be disqualified.

Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend any game in its sole discretion should any virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the game. In such case, Sponsor will randomly select the winner from all eligible guesses received prior to and/or after any action taken by Sponsor, or other method deemed fair by Sponsor. Sponsor reserves the right to suspend, modify, alter or terminate the game if any federal or state law, rule or regulation, or any judicial decision or Attorney General Opinion, or any change in the current enforcement policy affects the legality of the game, in whole or in part, as determined by Sponsor. Sponsor reserves the right, in its sole discretion, to disqualify any individual it determines to have tampered with the entry process or the operation of the game. Sponsor may void an Entrant's guess (and without a refund if the Entrant is a mobile Subscriber) and prohibit an Entrant from participating in a game (and future games), or winning any Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of any game by cheating, hacking, deception, or other unfair playing practices (including but not limited to the use of automated entry programs, the use of automated entry devices, submitting guesses through the use of multiple phone or email accounts owned by the same Entrant or by participating in, or benefiting from, a syndicate, group or block entry process or system), or intending to annoy, abuse, threaten or harass any other Entrants, Sponsor, or Sweepstakes Entities. Any Entrant found to be violating these Official Rules may be prohibited from participating in current and future games, in Sponsor's sole and absolute discretion.

These Official Rules are incorporated into the Terms and Conditions governing use of the Grandrpize.com Website and Services (the "Agreement") and made a part hereof. In the event of a conflict between the Official Rules and the Agreement, the Official Rules will control.

DISPUTES

Any dispute, claim and cause of action arising out of or connected with the Sweepstakes or any Prize(s) shall be resolved individually, without resort to any form of class action, and shall be governed by the laws of the State of Colorado, USA, without regard to conflict of law provisions. Further, all issues and or questions concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by and construed in accordance with the laws of the state of Colorado, without regard to conflict of law provisions.

Under no circumstances will Entrant be permitted to obtain awards for and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. LIMITATIONS OF LIABILITY

Sponsor is not responsible for: (1) incorrect or inaccurate transcription of entry information or late, lost, stolen, illegible, incomplete or misdirected or entries received through impermissible or illegitimate channels, all of which will be disqualified; (2) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer, network, hardware or software; (3) the unavailability or inaccessibility of any service; (4) unauthorized human intervention in any part of the entry process or the Sweepstakes; (5) electronic human or other error which may occur in the administration of the Sweepstakes or the processing of entries; or (6) any injury or damage to persons or property, including but not limited to Entrant's computer, which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Sweepstakes or from downloading any material from the Game Website, regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to the Game Website by a hypertext link.
